摘　　要：一人公司作为有限责任公司的一种特殊形式,在我国社会主义市场经济中扮演着十分重要的角色。近年来,随着经济社会的不断发展,一人公司所暴露出来的问题也愈发严重,股东的唯一性,治理结构的欠缺以及公司的人格混同都给一人公司的债权人利益保护带来了诸多潜在风险。借鉴国外关于一人公司债权人利益保护的相关规定,从完善注册资本金制度、严格信息披露制度以及健全一人公司人格否认制度三个方面来强化我国对一人公司债权人利益的保护。As a special form of limited liability company, the one-man company plays a critical role in our socialist market economy. Nowadays, with the rapid development of society, the problems aroused by one-man company are getting more and more serious. All the factors such as the uniqueness of the shareholder, the deficiency of the organizational structure and the confusion between the company and the shareholder have brought about many different potential risks to the creditors＇ benefits. Using the law system concerning the protection of the creditor＇ s benefit of one-man company in foreign countries for reference, the authors suggest that we should strengthen the protection of the creditor＇ s benefit of one-man company in three aspects, including the improvement of the registered capital system, a rigorous information disclosure system and a sound corporate personality denial system.
