摘　　要：商业秘密具有重要的经济价值,是可供利用的宝贵担保财产。然而,我国商业秘密质押存在着登记机关缺失,商业秘密的秘密性与质押登记的公开性之间的矛盾,商业秘密的价值评估不易等难题,为促进商业秘密质押的开展,应当明确商业秘密质押的登记机关,改变质押登记的内容,以"通知登记制"取代"合同登记制",同时对商业秘密评估不做强制性要求,强化商业秘密的保密措施,完善质押合同相关条款,以保障商业秘密质押的顺利开展。Trade secretes can be very valuable as intangible economic assets of a company and available for secured financing. However, trade secrets pledge meet with many troubles, such as lack of security rights registry; conflict between secrecy of trade secrets and publicity of pledge registration; difficulties in valuation of trade secrets. In order to booster secured transactions of trade secrets, it is necessary to definite security rights registry, replace ＂document filing＂ with ＂notice filing＂. Besides, it is essential that valuation of trade secrets should not be compulsory, strengthen security precautions taken by possessor to prevent acquisition of information by unauthorized parties, improve and perfect pledge contract clauses for trade secrets pledge.
