摘　　要：剖析国企与外资结成的战略联盟的特征,包括外资占少数股权的合作动机以及制度因素的影响。基于这些分析,创建理论框架、提出研究命题,探索了在政策约束下中外双方达成合作的特征,尤其是目标匹配期限结构对国企向外资的学习演进和内部改革的影响。运用纵向案例方法检验和探讨了理论部分的主要观点,并提出了有益于今后相关研究的启示。This paper tries to analyze the effect of time frame of the fitness in partners objectives on their learning evolution in strategic alliance based on the theoretical explanation and implications in strategic alliance area. It conducts a longitudinal case study to qualitatively explain the time structure of fitness between partners objectives and the dynamic learning in strategic alliance formed by a Chinese SOE and a MNE home at USA.
