竞争规制视角下吉利收购沃尔沃的法律思考

摘　　要：浙江吉利控股集团有限公司成功收购美国福特旗下沃尔沃汽车是经营者集中的手段之一。伴随着市场竞争而经常出现的一种经济现象为经营者集中。它对市场竞争产生的积极影响便成为各国反垄断法不懈的追求。竞争规制可以被视为产业规制的应有之义,但我国目前的反垄断执法高度依赖于产业规制机构,难以超越垄断格局下的既得部门利益。反垄断法要想获得真正的尊重与执行,必须把统一的竞争执法权交给反垄断法执法机构,建立超越产业规制格局的反垄断法执法框架。Zhejiang Jili holding group Co, Ltd. acquiring the Volvo under the American Ford company is the one of above means for concentration of management. Concentration of management is acommon economic phenomenon in the market competition. Its posi- tive influence over the market competition has become the unremitting pursuit of antitrust law in the world. Competition regulation should be the intrinsic meaning of industrial regulation, but the anti-monopoly law enforcement in our state highly depends on industry regulation institutions so it is difficult for the law-enforcing department of antimonopoly to transcend the acquired department interests. The antimonopoly law wants to be respected really and enforced, the unified competition law enforcement right should return to the anti- monopoly enforcement authority, the antimonopoly law enforcement framework beyond industry regulation pattern should be established.
