摘　　要：浮动抵押是我国长期以来被忽视的一种担保,其发展一直滞后于其他担保。对于中小企业而言,浮动抵押有利于债权融资。虽然我国公司法规定了公司担保的一些制度,但对于浮动抵押而言仍然有许多不完善的地方需要修正。通过赋予公司章程更多自治性的规定,可以一定程度上弥补这些不足。Floating charge is a kind of guarantee in our country. It has long been neglected, which develop- ment has been lagging behind other guarantees. Floating charge is advantageous to the creditorg rights financing for small and medium - sized enterprises. Though some of the company law in our country has ruled the company guar- antee system, but for floating charge still has many imperfect places need to modify. By giving more autonomy to the articles of association of the company regulations can make up for these deficiencies.
