摘　　要：公司不仅是经济组织,同时也是社会组织,其经营活动必然要受到社会环境的影响,与西方"团体格局"的社会结构不同,我国公司是嵌入在差序格局的社会结构中,差序格局势必对我国公司在公司治理方面产生重要的影响。作为公司治理理论基础概念之一的委托代理关系,将会因差序结构的影响而在代理成本、资源配置等方面表现出异于西方公司治理理论的特点,在此基础上本文构建了一个基于差序结构的中国式公司治理基本框架。The corporate is not only an economic organization,but also a social organization.The corporate operation will inevitably be influenced by the social environment.Different from the group structure in the West,the Chinese corporation is embedded in the different structures and this will influence the corporate governance in China.As a fundamental conception in corporate governance theory,the Principal-agent problem in China will be different from the western corporate in the agent cost and resource allocation because of the differential structure.This paper establishes a theory structure for the corporate governance in China based on the different structure society.
