摘　　要：近年来,为吸引跨国公司在华研发投资,我国出台了众多政策文件,各地也采取了税收优惠、财政资助、土地优惠、人才引进等政策措施。但现阶段政策工具缺少整合、执行力不强、对区域自主创新的溢出效应影响不显著。应构建跨国公司在华研发投资与中国区域自主创新互动的政策体系,明确"引进投资—促进互动—自主创新"的三级政策目标,整合"环境优化—投资促进—互动溢出"的三级政策工具,理顺"指导部门—制定部门—服务部门"的三级政策主体。In recent years, China has roiled out many policies to attract the MNEs R＆D investment. Kinds of policy tools are used, such as tax preference, land preference, financial support in provinces. However, current system of policy tools lack integration and execution, and the spillover effect of the MNEs R＆D investment is little. We put forward the construction of policy system to promote the interaction between MNEs R＆D investment and regional innovation system by analyzing the policy goal, policy tool and policy actor of MNEs R＆D investment in China, confirm the three policy goals of ＂introducing investment-promoting interaction-independent innovation＂, integrate the three policy tools of ＂environment optimization- investment promotion-interaction spillover＂, and comb the three policy actors of ＂guiding sectors-setting sectors-serve actors＂
