摘　　要：打破铁路行业垄断,允许社会资本投资铁路领域,从而培育铁路市场的良性竞争机制是目前铁路改革主要方向之一。而社会资本投资铁路需要解决的首要问题是明确适格主体。要解决此问题,需要从适格主体的身份要件、资本要件和资质要件进行分析。通过对这三个要件的分析,确立社会资本投资铁路适格主体的判断标准,为社会资本投资铁路的实践和立法提供理论依据。It is the main direction of railway reform to break railway industry monopoly, and allow the social capital investment in railway fields, and foster rail market benign competition mechanism. The primary problem of social capital investment in railway is clearly eligible subject. To solve this problem, need to analyze from the identity elements, capital requirements and qualification requirements. Through the analysis of these three elements, We will establish the judgment standard of social capital investment in railway eligible subject, and to provide a theoretical basis for the legislation and practice of social capital investment in railway.
