公司领办合作社的必然性及内在稳定性分析——从资产专用性角度的解析

摘　　要：在中国农民专业合作社的发展过程中,出现了一批由公司领办的合作社,这类合作社由具有较强资金实力的公司牵头组建,合作社在公司的控制下运行,合作社的治理机制有别于农户自发组建的专业合作社。通过比较"公司+农户"、"公司+中介组织(包括专业大户、专业协会、经纪人、合作社)+农户"和公司领办型合作社三种不同形式的农业产业化组织形式的优势和不足,从资产专用性角度分析论证了公司领办型合作社产生的必然性及这类合作社稳定发展的原因,提出公司拥有大量专用性资产是公司领办合作社的重要推动力,也是维持合作社稳定发展的重要因素,提出了推动这类合作社发展的对策建议。In the development of China＇ s farmer specialized cooperatives, a number of company-leading cooperatives emerged, which were built up by strong financial companies and operating under their control, so as for the governance, cooperatives differed from professional cooperatives raised by farmers themselves. The paper, through comparing ＂company and farmer＂, ＂company and agency and farmer＂ and company-leading cooperative, three forms＇ advantages and disadvantages, discusses the necessity of company-leading cooperatives＇ emergence and the causes of their stable progress, and proposes the abundant specialized assets company held remain the key force by which they led cooperatives and functioned in stabilizing the development of cooperatives, and the author put forward relative measures and suggestions on propelling the progress of such cooperatives.
