摘　　要：我国关于有限责任公司股东优先购买权的法学理论和立法实践都还不够成熟。完善股东优先购买权制度应该确定股东优先购买权中同等条件标准,明晰股东优先购买权能否部分行使,厘清股权转让过程中转让股东能否享有"反悔权"以及对优先购买权的影响等。In China, the legal theory and legislative practice of Shareholders＇ preemptive right are not perfect. To improve the system of shareholders＇ right of preemption, we suggest as follow ： firstly, the criteria of the same conditions should be made; secondly, it should be cleared whether the shareholders can exercise their right partly; last but not lest, it should be clarified whether the shareholders can have the right of rescis- sion in the process of equity transfer and the preemptive effect.
