摘　　要：一人有限责任公司具有单位犯罪主体资格。其法理依据在于:一人公司符合单位犯罪主体资格法律确认;一人公司刑法单位人格不同于自然人人格;一人公司单位意志与自然人个人意志相区别和一人公司为单位谋取利益与股东利益之界分等。同时,对于一人公司刑法单位人格否定情形,不再以一人公司单位犯罪定罪处罚。The one -person limited liability company has subject qualification of unit crime. It＇s legal bases lie in： one -person limited liability company conforming to the subject qualification of unit crime is ascer-tained by law; one - person limited liability company unit criminal law personality is different from natural person personality; the unit~ will of one - person limited liability company differs from natural person individ- ual will and benefit for the unit which distinguishes one - person limited liability company from interests of shareholders; and so on. At the same time, with regard the relevant natural person instead of the one - person ished for his criminal responsibility. to the negative status of unit criminal law personality, limited liability company should be convicted and pun- ished for his criminal responsibility.
