摘　　要：伴随城市发展和产业结构转型升级的需要,工业园区土地二次开发需求越来越迫切。通过对开发区土地二次开发案例分析,剖析我国土地二次开发制度需求与供求冲突;通过梳理我国各城市的地方创新政策,探究二次开发自下而上的制度供给创新方向;以此为借鉴,提出我国工业园区二次开发模式和制度创新顶层设计建议。With the development of city and the industrial restructuring, the demand for secondary development of industrial park increases urgently. Through analyzing cases , the thesis dissects system demands of secondary development of ：land and the conflicts between the current system supply and demand. The article also probes the direction of innovation of land＇ s secondary development by carding innovation policies of cities all over the country. Then we propose modes of secondary development of industrial park and give some suggestions of institutional innovations
