摘 要:FOB贸易条件下,卖方是否享有海上货运合同"托运人"的地位直接关系到卖方能否控制货权和货款权,这是困扰中国出口贸易多年的一个难题。依据国际贸易惯例和法律,FOB条件下的买卖双方均可成为提单的托运人。作为履行贸易合同交货义务的卖方,如何运用其相关的权利,取得海上货运合同的主体地位,即提单的托运人地位,行使其提单货物和货款的控制权,合理保护自身利益,值得中国理论界予以深度的探讨和贸易商的密切关注。Under the terms of FOB,whether the seller can be the "shipper" in the contract of carriage of goods by sea is directly related to his rights of controlling the goods and payment.This is a tricky issue for China’s export trade for many years.According to the international trade practice and law,either buyers or sellers can be the shipper of the bill of lading under the terms of FOB.As a seller in an FOB contract,by being one party to the Marine cargo contract,namely the shipper,the seller can control goods and payment so that his own interests can be protected.However,how to get the relevant rights is what Chinese scholars and traders should pay close attention to.
