摘　　要：构建新型国资监管体制,需要在对国有企业进行营利性和公益性科学分类的基础上,将集团公司改组为国有资本运营公司,在国资委系统内实现出资人职能与监管者职能的分离与整合。构建统一监管的三层次国资管理框架,充分发挥国有资本运营公司董事会作用,对实体企业的管理实现从管国企向管国资的跨越。State-owned enterprises can be divided into profitable and non-profitable ones. Based on this scientific classification, group companies can be reshuffled to state-owned assets operating corporations （AOC）, which helps to separate functions between investors and regulators distinctly. By this way, a three-level structure can actually estab- lished to realize unified regulation. With the help of AOC＇ s beard of directors, management methods of entity enterprises can be transformed from the administration of state-owned enterprises to the operation of state-owned assets.
