摘　　要：契约理论(Contract Theory)打破了新古典经济学中的交易成本为零与信息完全两大假设,主要包含完全契约理论与不完全契约理论两大研究框架。实际上,信息经济学及其方向上的研究逐渐发展为完全契约理论,而新制度经济学及其方向上的研究逐渐演变为不完全契约理论。信息经济学的研究逻辑表明,契约是完全的,因为逆向选择、道德风险等机会主义行为可以通过设计合理的激励机制而解决。新制度经济学则通过假定制度的选择是有成本的,着重考虑不同的制度安排对经济当事人行为的影响,这种影响具体表现为制度的激励效果和经济绩效。按照产权理论(Property Rights Theory)GHM模型和交易成本经济学(Transaction Cost Economics)的观点,由于人们的有限理性、相关变量的"可观察但不可证实性"、交易成本过高等原因,拟定完全契约是不可能的,不完全契约才是必然和经常存在的。Contract theory breaks the two major assumptions of transaction cost as zero and complete information in neo-classical economics mainly under the framework of both complete and incomplete contract theories. In fact, information economics and its re- search get to grow into a complete contract theort while new-system economics and its research into incomplete contract theory. The research logic in information economics indicates contract is complete because of adverse selection, thus opportunistic behavior and other moral risks can system is costly through assumed selected system, with focus on effect taken upon act of economic interested party by different economic arrangement, specified by the incentive result of system and economic performance. In line with the model of property rights theory and transaction cost economic view, it is impossible to draw up a complete contract and incomplete contract is inevitable and frequent on account of limited ration, ＂observable but unverifiable＂ relative variables and higher transaction cost.
