入世议定书的法律性质和效力

摘　　要：基于“条约契约论”的基本法理和《维也纳条约法公约》的规定，条约是缔约各方在“自由同意”基础上的意思表示一致的结果。《维也纳条约法公约》对于“自由同意”给予了非常严格的保护，但对于“意思表示一致”如何达成的规定却非常宽松。从条约缔结程序来看，入世议定书是新成员与WTO既有成员之间达成的一份“商业合同”，并构成了对《WTO协定》事实上的“修正”；入世议定书与WTO多边贸易协定之间的关系应以“统一”为原则、以“冲突”为例外；约文谈判过程的记录对于澄清入世议定书项下权利义务之通常含义具有重要价值。According to the ＂treaties as contract＂ theory and relevant provisions of the Vienna Convention on the Law of Treaties, treaties are the result of consensus reached on the basis sent＂ point is a ＂ and e of ＂free consent＂.
