摘　　要：涉外合同的法律适用是涉及多领域、多层面的复杂问题，一直为学界所关注；我国统一合同法的实施，又在理论和实践上带来了诸多方面的新问题。而统一确定这些问题的答案，既有助于消除观念上的错误认识，更为正确执法所必需。The legal application of contracts involving foreign interests, a constant concern in academic circles, involves various legal areas and layers. The enforcement of Contract Law in China has brought a variety of new problems whether in theory or in practice. Providing uniform answers to these issues will not only eliminate mistaken ideas but is also required by correct legal enforcement.
