营业财产之人格属性考辨

摘　　要：营业财产作为法人的血液,在商事法中有着不可估量的作用。同时营业财产作为商法上的一个基础性的概念,也是揭示商行为与商主体涵义之重要工具。在现代商事交易多元化的今天,学者们在谈论公司营业财产的财产属性而忽略了其具有的人格属性。营业财产所具有的人格属性是企业法人存续发展的基石,而企业法人对营业财产的维持又保障了公司人格独立。Business property as a legal person＇s blood plays an important role in the commercial law. And business property, as a foundation of commercial law, reveals business behavior and the meaning of business subject. Howev- er, when the scholars discuss the business property of companies, they ignore the personality attribute in the modern commercial transactions with pluralism. The personality attribute of business property is a cornerstone for the corpo- rate survival and the maintenance of the enterprise legal person secures the independence of corporate personality.
