摘　　要：为了更好地保护公司及股东的利益,各国立法均不断强化董事的忠实义务。我国《公司法》对董事的忠实义务也作了规定,但不够完善,因此,在借鉴外国立法的基础上,针对董事自我交易禁止、禁止篡夺公司机会及竞业禁止等忠实义务进行探讨,提出些许完善之策。In order to better protect the interests of company and shareholders ,the directors＇duty of loy-alty is constantly strengthened in the legislation worldwide .In China＇s Company Law ,regulations about the loyalty duty of directors are also made ,but they are not perfect .Thus ,drawing from foreign legislation ex-perience ,the essay discusses about company directors＇loyalty duty ,including forbidden of self-dealing trans-actions ,forbidden of usurping corporate opportunities and over-lapping business operation .Some sugges-tions on legal improvement are also put forward .
