摘　　要：中共中央十八届三中全会通过的《全面深化改革若干重大问题的决定》第39条提出,对按规定转制的重要国有传媒企业探索实行特殊管理股制度。世界范围内存在的特殊管理股制度可以分成"事前管理模式"和"事后控制模式",而我国国有企业实际需要的模式是"事后控制模式"特殊管理股制度。"事后控制模式"特殊管理股制度的本质不是股权,而是企业与政府之间的契约,应由此出发探索具有中国特色的特殊管理股的设立及其初步设想。In accordance with Article 39 of the ＂Decisions on Major Issues to Comprehensively Deepen Reforms＂ passed at the 3rd Plenary Session of the 19th CPC Central Committee, the system of special management unit applies to major state-owned media enterprises that have transformed their ownership according to regulations. Special management unit in the world can be divided into ＂pre-management mode＂ and ＂post-control mode＂, while the latter is required among China＇s state-owned enterprises. ＂Post-control mode＂ as a special management unit is not equity in essence, but the contract between the enterprise and the government. This should be the starting point from which we can explore the establishment and initial development of special management unit with Chinese characteristics.
