论“或裁或审”条款中仲裁条款的效力——以海峡两岸司法实践为视角  

On the Effectiveness of Arbitration Agreement in the Clause of Arbitration or Jurisdiction: From the Perspective of Judicial Practices between China's Mainland and Taiwan

摘　　要：大陆地区司法实践坚持有效仲裁条款的法律后果之一是排除法院管辖,如果仲裁条款与管辖权条款并列,仲裁条款则无效。台湾地区在司法实践中逐步确立了"或裁或审"条款中仲裁条款不一定无效,且操作上采取仲裁与法院"先系属先管辖"原则。台湾地区的司法实践更有利于支持仲裁政策的实现,更侧重于探求当事人的真实意思,并且为仲裁条款独立性理论赋予新意。欲获得"或裁或审"条款中仲裁条款效力的有利解释,法院可从区分仲裁协议的有效要件和有效仲裁协议的法律后果、仲裁条款与法院选择协议的效力互相独立、探究当事人订立争议解决条款时的仲裁意愿等角度获得新思路。The judicial practices of China's Mainland holds that one of the legal consequences of a valid arbitra- tion agreement is to exclude the jurisdiction of the court. If the arbitration agreement is tied to the jurisdiction clause, the arbitration agreement is invalid. The judicial practices of Taiwan, however, gradually established the arbitration agreement is not necessarily invalid in the clause of Arbitration or Jurisdiction. The jurisdiction of arbitration tribunal or court depends on the order of the case acceptance. The judicial practices of Taiwan is more conducive to realize the pro - arbitration policy and more focused on the true meaning of the parties＇ intention and gives the new interpretation to the independence of Arbitration Clause. For the favorable interpretation of effectiveness of arbitration agreement, the courts of China's Mainland could obtain new ideas from the following perspectives ： （ 1 ） distinction between the effective elements of arbitration agreement and the legal consequences of a valid arbitration agreement ; （2） the effectiveness of arbitration agreement and agreement to jurisdiction are independent; （3） respect the parties＇ true intention to arbitration.
