摘　　要：本文首先对国际直接投资理论的发展作了简单归纳，分析了国际直接投资从垄断竞 争理论到国际战略联盟理论的发展过程；然后分析了目前国际直接投资的特点，包括投资规 模、投资流向、投资领域和投资形式，并指出跨国公司并购是一种趋势；最后分析了我国利 用国际直接投资的状况，指出在新形势下进一步开放国内市场，外资对我国跨国并购是一种 新的主要利用外资的形式，同时分别对由并购可能引起的经济安全、垄断、待遇和并购程序 等方面的问题作了分析。： This article first makes a brief review of the developments of FDI theories followedby a discussion of the development o f FDI from monopolistic theory to international strategic allies theory. Then it goes on an analysis of the current FDI features, including investment sizes, fl ows, areas and forms, holding that cross－ national acquisition is a tendency. The article concludes with a study FDI situations in China and points out that, in the further opening－ up of China's market towards the outside under new cond itions, cross－ national acquisition will be a main form exploitation of foreign capital. The article also analyzes some problems which will be very possibly ca used by cross－ national acquisition, such as economic safety, monopolization, t reatment and acquisition procedures.
