摘　　要：本文就郑百文重组方案发表了自己的观点 ,认为其重组方案中几个引起争论的“创新”违背了现有法律原则 ,侵犯了股东财产权 ,践踏了公平原则 ,是不宜付诸实施的。In this article, the author holds that 'Zhang Baiwen's Realignment' Program is nothing 'innovative' but running counter to the existing legal principle, an infringement upon the shareholder's property right and a flagrant violation of the fair principle, thus it shouldn't be put into practice.
