摘　　要：风险投资机构典型的组织形式包括有限合伙、公司和契约式基金三种 ,它们各有其优缺点。我国风险投资机构由于法律上的诸多限制 ,在运作中遇到了重重困难 ,因而 ,应修改相关的法律 ,以完善我国的风险投资机构法律制度。Limited partnership,company and trust fund,each having their own advantages and disadvantages,are the typical types of venture capital pools.The venture capital pools in our country are difficult to perform their function for the limitation of the law,so that we should modify the relative laws to perfect legal system of venture capital pool in our country.
