摘　　要：有限责任原则是我国公司制度的根本性原则。它在为公司制度和社会经济发展做出贡献的同时,也因其内在缺陷对社会经济秩序造成负面影响。针对我国立法现状,应完善我国有限责任立法缺陷,确定股东有限责任的适用范围、适用的实质条件及例外适用制度等。The principle of limited liability principle is the basic law of the corporation institution. It has contributed very much to China's social and economic development, but at the same time, it also has brought some negative effects due to its inherent shortcomings. To change the current situation of the corporation legislation, we should define the scope, condition, and exception of the limited liability principle.
