摘　　要：投资银行是西方国家资本市场的重要主体。西方投资银行之所以在资本市场上大显身手是因为其具有分散的资本结构 ,合理的董事会构成 ,科学而有效的决策、激励及约束机制。西方投资银行的组织管理结构经过演变已形成矩阵型和多维立体型两种现代组织模式。Investment banking is a principal part in capital market of the western countries.The paper focuses on the largest investment banking of western countries.Investment banking plays an important role in capital market because of its disperse capital structure, reasonable board committee structure,scientific and efficient incentive?controlling institution.Also,we introduce the development of the organization structure of investment banking.Martrix structure model and multidivision stereoscopic model are the two typical models of modern investment banking of the western countries.
