摘　　要：投资基金已成为当代国际金融市场的一个高级金融工具。在我国,为使其更好地发挥作用,须解决缺乏配套法律规范及违规操作严重等问题。本文对当前投资基金立法中的诸如基金法律关系、建立开放式基金、基金制度主体利益冲突以及信息披露等若干问题进行了粗略地研究,并就投资基金立法提出了一些建议。Th e mutual fund is an advanced financial tool of international financial market.In order to make it its full use,we must solve the problems such as the la ck of relevant laws and regulations a nd unlawful operations in China.Thi s article a nalyzes such issues as the legal relationshi p of the mutual fund,the establishment of the open-fund,the benefit conf lict between the parties related to th e fund and information d isclosure,furthermore,puts forwa rd some advice to ma ke it better.
