摘　　要：商事登记是一项涉及商事登记主体、行为、内容、程序等方面的法律制度。其在维系市场秩序与促进交易安全方面具有重要作用。在理论与实务中,商事登记的法律性质、审查标准、法律效果等问题还存有一定争论。为促进我国商事登记制度的完善,有必要对以上问题予以进一步研究与探讨。Business registration is a legal system which involves subjects, conducts, contents,procedures and so on. It has an important role in maintaining market order and promoting trade security. In theory and practice, there are some controversies on the problems of legal property,review standard and legal effect. To promote the improvement of China＇s business registration system, it is necessary to require further research and discussion on these questions.
