摘 要:《物权法》第189条第2款本质上是对浮动抵押权人优先受偿财产范围的限制,但仅凭这一条无法构建完整的浮动抵押权人优先受偿范围限制规则。浮动抵押虽源于英美法系,由于中美两国的浮动抵押权均是一经公示,即享有优先于后成立的固定担保和一般债权优先受偿的权利,故应以美国法为模板。在构建这一制度时,应区分浮动抵押人是买受人和出卖人两种情况,引进购买价金担保优先制度,完善正常经营买受人优先制度。具体而言,对我国浮动抵押的公示方式和客体范围分析后可知,在我国引进购买价金担保优先制度具有制度土壤,需要根据我国信用状况对美式制度略作微调;正常经营买受人优先制度的完善应聚焦在对"正常经营活动"的解释上。The article 189, section 2 of the Property Law substantially impose restriction on the range of property in floating pledgee' s priority right for claim. But this article alone cannot construct a complete system of restriction rules. Although being derived from Anglo-American legal system, China' s relative laws shall imitate American law, because in China and American, once the right to floating mortgage is publicized, the pledge immediately enjoys priority right for claim in preference to fixed charge and general creditor' s rights. When constructing this system, it is necessary to distinguish the floating pledge as vendee or vender, the purchase money security interest shall be introduced, and the system of normal vendee' s priority r)ght shall be improved. To be specific, after analyzing the ways of publicity and the object scope, we can see that in China, it is practical to establish this system, and the American relative system shall be slightly changed to fit into the credit standing in China. The Perfection of this system shall focus on the interpretation of "normal business activities".
