摘　　要：公立大学建立董事会制度是建立现代大学制度的重要内容。文章在简述国外大学董事会制度产生和现状的基础上,分析了新中国成立以来我国公立大学董事会制度的变迁,阐述了3个发展阶段各自的特点,进而对公立大学董事会的制度建设进行了深入剖析,提出大学实行"董事会与党委领导下的校长负责制"构想并对该制度作了具体阐释。The establishment of board system is an important part in founding modem university system. Based on briefly reviewing the origin and current situation of board system in overseas universities and colleges, the paper analyzes the transitions of board system in Chinese public universities since the founding of new China, explains the three stages and each characteristic, and further dissects the establishment of board system in Chinese public universities. On the basis of which the paper explores further on relevant topics such as： the positioning and function of the board, the structure, and its relation with university president and party committee. The paper proposes and further explains the idea of introducing ＂ President Accountability Sys-tem under the Leadership of Board and Party Committee＂ .
