民间资本融资法律问题探析

摘　　要：改革开放30多年以来,随着市场经济的发展与民间财富的不断增长,大量的机构投资者与个人投资者积累了大量的资金。而苦于目前投资渠道的有限找不到合适的出路,另一方面大量中小企业以及个人由于自身其它因素的综合影响很难从银行融资,于是民间资本融资在这种"需"与"求"之间应运而生,且在进入新世纪初的几年呈几何式增长的态势。然而,由于法律滞后性的固有缺陷,导致相应法规的缺失、监管的缺位、以及市场投机的存在,民间资本融资亟需从法律角度来进行规范以促进其健康、有序发展。With the increasing development of market economy and private capital since the reform and opening up, a large number of institutional investors and individual investors have accumulated a lot of money.But they can＇t find a suitable way to invest currently.On the other hand, many small and medium enterprises and individuals can＇t get bank financing because of their own as well as the combined effects of other factors, so private capital financing comes into being in and between ＂need＂ and ＂demand＂, which has been in a growth trend after a few years of the new century.However,due to the legal defects inherent lag which leads to a lack of appropriate regulations, the absence of regulation, as well as the existence of market speculation, private capital financing needs to be regulated in order to promote its healthy and orderly development in a legal point of view.
