摘　　要：运用委托代理理论和利益相关者理论分析公立医院法人治理结构对综合绩效的影响,发现医院法人治理结构通过影响政府行为、管理层决策实施以及医护人员从医行为进而影响综合绩效,完善的法人治理结构有利于实现利益相关者之间的利益协调和权利制衡进而提高绩效,建立完善的公立医院治理结构对提高医院综合绩效起积极作用。This paper mainly used principal - agent theory and stakeholder theory to analysis the corporate governance structure of public hospitals affecting the overall performance. It found that hospital corporate governance structure affected the overall performance by influencing the government action, and the behavior of management and health care. What＇s more, the sound of corporate governance structure conducted to achieving the right balance, and coordination of interests among stakeholders and to improve performance. Establishing a sound governance structure of public hospitals plays an active role to improve the overall performance of the hospital in the conclusion.
