摘　　要：跨国并购可以帮助企业在世界范围内进行资源的优化配置和产业重组,是中国企业融入世界经济的有效路径,但中国企业跨国并购能力还有待提高。结合案例对中国企业跨国并购的策略进行了讨论,主要包括:从企业战略出发确定并购目标,进行优势互补;并购时优先考虑对方的高端品牌和先进技术;综合运用多种融资方式,降低并购风险;选择战略合作伙伴和专业化的咨询顾问公司共同完成并购;并购整合注重人力资源整合和文化整合两个关键方面。The cross-border mergers and acquisitions can help enterprises conduct the worldwide optimal configuration of resources and industrial reorganization,and it is an effective path for China＇s enterprises to joining the world economy.However,the ability of China＇s enterprise in this respect remains low.In combination with some cases,the paper puts forward such strategies as confirming the merge targets from enterprise strategy and complementing each other＇s advantages,giving priority to the other side＇s high-end brands and advanced technology,applying multiple financing methods comprehensively and reducing acquisition and merger risks,choosing the appropriate strategic partners and specialized consultant firms,and emphasizing the integration of human resources and cultures.
