摘　　要：我国《资产评估法(草案二审稿)》仍存在诸多争议之处。就该法名称来看,现有名称比起其他诸如"评估师法"等更准确;资产评估业务范围的列举存在逻辑上的问题;关于强制性评估的事项应予明确;该行业的行政管理可以考虑交由与评估行业没有利益瓜葛的司法行政部门负责;注册评估师全国统一资格考试制度需要更深入的思考;评估机构的组织形式应完全采取合伙制;关于注册评估师的民事责任规定过于简单,应予进一步明确;关于评估报告的使用条款缺少实质性内容,应当删去或者增加非法使用行为的列举;在增强行业自治的正确方向下,应以完善的救济制度来平衡注册评估师、评估机构与行业协会之间的地位。There are still many controversial points in the Asset Assessment Law（draft second）. In respect of the name of the law, ＂Asset Assessment Act＂ is more accurate than other existing names such as ＂assessment imitates＂ and more. There are some logical problems in the list of assessment of business assets. The matters of mandatory assessments should be clear. Such industry administration may be give to the judicial administrative department which has no interest with it. The certified appraiser unified national qualification examination system needs to think more deeply. The forms of assess- ment agencies should take full partnership. The provisions on certified appraiser＇s civil liability are too simple and should be further clarified. The provisions on the assessment report＇s use lack substantive content and should be deleted, or the provisions should be increased on the illegal use actions. While enhanced the industry autonomy, we should improve the relief system to balance the status of registered appraiser, assess agencies and industry associations.
