摘　　要：基于对市场经济条件下公司自治与政府规制的理解,以理顺中超联赛利益主体权限与关系作为研究的逻辑起点,以如何达到联赛经济利益、社会责任与政治责任有效融合的职业化发展目标作为研究目的,提出中超联赛整体改制为有限责任公司的研究假设,将中超联赛管办分离改革这个命题放入公司治理结构优化的研究框架内进行分析,在平衡股东利益和转变政府规制方式的优化理念下,通过公司章程的控制性股东限制制度体现,优化公司制联赛的内部治理结构,通过限制或者剥离行政管理机构对联赛具体事务的管理职能,优化外部治理结构。依据优化策略形成合理的联赛管理架构,为管办分离得以真正实现提供理论支撑。In order to establish the professional football management mechanism conforming to the mode lf operation of modern professional sports league and combining the reality of China , China Football Association developed a reform plan for professional league ,but this plan in-volves in disputes and questioned .Therefore ,what to separate and how to separate between government and institutions of CSL remains the focus of academic research and social concern . Based on the theory of company autonomy and government intervention ,this paper ,taking the CSL interest subject authority and relations as the research logical starting point ,how to a-chieve the league economic interests ,social responsibility and the political responsibility profes-sional development goals as research objective ,puts forward the hypotheses for CSL overall re-structuring the limited liability company ,and put the separation of CSL reform plan into the re-search framework of optimization of corporate governance structure .Under the optimization i-dea of balancing interests of shareholders and the transformation of government regulation mode ,through the reflection by controlling shareholders restriction system of the articles of as-sociation of the company ,the internal governance structure of company business league is opti-mized .By limiting or stripping administrative agencies for the League of specific affairs man-agement functions ,to optimize the external governance structure ,and finally forming the rea-sonable management structure for CSL .
