摘　　要：通过分析大学技术转移过程中固有的激励和风险问题及其所造成的困难,认为仅仅赋予大学科研成果明确的知识产权是不够的,成功的技术转移还要为大学和企业协同创新提供激励,并尽可能地降低企业承担的风险。最优的合约安排应将大学科研人员的收益与技术商业化收入相关联,并灵活采用阶段性支付或分成形式来分担企业在技术开发和商业化过程中的风险。为了保证大学技术转移的可持续性,在收益分配环节必须给予发明者足够的份额,从而提升大学的长期创新能力。Through analysis of incentive and risk problems inherent in the university technology transfer process, this paper holds that it is not enough to only give clear intellectual property right to university science development achievements, it should provide in-centives to cooperative innovation participated by university and enterprise, and reduce the risk born by enterprise. Therefore, the opti-mal contract should attach the benefit of inventor to the income of technology commercialization, and share the risk undertaken by the enterprise in the development and commercialization process through stage payment and sharing. In order to ensure the sustainability of university in university technology transfer, enough shares must be given to the inventors at the income distribution stage to enhance the university’s long-term innovation capability.
