摘　　要：运用原始数据来观察美国CEO薪酬的真实走势,利用面板数据及面板数据模型来挖掘数据集中所隐含的信息价值。结合实证结果认为:2002年以来美国高管薪酬异常增长的现象还在继续;证实了2008年是管理权力模式和最优契约模式交替决定CEO薪酬的拐点;论证了市场性因素和非市场性因素作用域的存在;最后得出对象不同和时间不同决定着有效的政府工作方式以及公司治理策略不同的基本结论。In this paper,using raw data to observe the real trends of United States CEO compensation,using panel data model and panel data to excavate the implied value of information,the empirical results show that since 2002 America executive com-pensation abnormal growth phenomenon continues;confirmed that 2008 is the turning point management mode of power and the optimal contract model of alternating decision CEO compensation;demonstrates the scope of market and non-market factors exist. Finally,reach conclusion is the different objects and different time determines the basic conclusion of effective govern-ment work style and different corporate governance strategy.
