摘　　要：上市公司内部人控制会造成国有资产流失,增加公司的生产经营风险,对中小股东的利益构成威胁,上市公司国有股一股独大、董事会中内部董事成员较独立董事多,董事会对经理人员的监督力度弱化等现实,以及现有法律法规的不健全导致了上市公司内部人控制不仅危及公司的正常经营活动,还会制约我国健康经济秩序的建立,从公司治理结构上对上市公司内部人控制进行法律规制是解决内部人控制问题的一个方面。The listing Corporation insider-control will result in the loss of state-owned assets,increase the company’s production and operation risks,pose a threat to the interests of small shareholders,coupled with the listing Corporation internaldirectors of state-owned shares,the board members are independent directors,the board of directors supervision to the managers of the weakening,and the existinglaws and regulations unsound result in that listing Corporation insider-control not only endangers the normal business activities of the company,but also restrict the healthyorder of economy of our country,the listing Corporation insider-control legal regulation from the corporate governance is to solve the problem of insid-er-control is an important aspect.
