摘　　要：股权安排与社会资本都是合作社治理的有效机制,两者之间既存在替代性也存在互补性关系,替代性激励着合作社寻求更低治理成本,获取更高治理收益,互补性意味着合作社整体性制度安排可以内在一致。合作社组建期,社员间的依赖性与协调性要求越高,其对社会资本治理的需求也就越大;合作社成长期,社员异质性增强、交易频率增加又会使合作社对股权安排的需求增加;合作社成熟期,社会资本和股权安排的动用将在不同适用对象上出现分化。两种治理机制的替代、互补与适用性匹配能够保障不同生命周期合作社治理的整体有效性。Both equity arrangements and social capital are effective mechanisms for cooperative governance. There is substitutability and complementarity relationship between the two. Substitutability motivates the cooperatives to strive for lower governance cost and complementarity means the integrity system arrangement of cooperatives can be internally consistent. At the forming stage,the higher requirements for dependence and coordination among cooperative members,the greater demand for social capital governance. At the growth stage,stronger membership heterogeneity,higher frequency of trades strengthen cooperatives＇ demand for equity arrangement. At the maturation stage,differentiation among different applicable objects appears in the employment of social capital and equity arrangement. Substitution,complementation and matching of the two mechanisms guarantee the overall effectiveness of cooperative governance at different life cycle stage.
