摘　　要：本文运用行为公司治理理论,对深圳七彩通公司的企业激励机制进行了案例分析,提出了现代企业激励机制应该重视人力资本作用,提倡身股制;降低"我执"观念,凸显代理人文化;建立基于行为的正负激励机制;同时,要制度与文化结合,降低管理成本等建议。This paper makes an case analysis on enterprise＇s incentive machanism of Shen Zhen colourful company by ap- plying behavior corporate governance theory, and proposes that： incentive machanism of morden enterprises should pay atten- tion to role of human capital and advocate body-sharing; reduce self-grasping idea and prominent culture of agents; build plus or minus incentive mechanism basing on behavior; at the same time, enterprises should integrate regime with culture in order to reduce management cost.
