摘　　要：当前,许多产业链结构纷纷进行网络化重构以应对互联网时代的挑战,而产业链纵向一体化驱动与反垄断法的深入实施矛盾并存。本文改变了产业链纵向一体化的传统线性结构思路,提出构建纵向多边平台的星形网络结构,解决了纵向产业链重构的机制路径问题。纵向多边平台模式从理论上拓展了纵向线性关系的双边平台,而且从实际上增加了网络平台的广泛性和应用性。从交易成本角度和信息匹配角度论证了多边平台网络组织形式优于市场以及企业组织形式。基于第三方治理的纵向多边平台打破了企业纵向一体化垄断,提高了社会整体福利水平,并有利于对反垄断行为的监管。Many the industry chain structures have achieved network reconfiguration to meet the challenges of the Internet age, but drive and the contradictions of Industrial chain vertical integration and implementation of antitrust law in-depth coexists. This article has changed the traditional idea of a linear structure vertically integrated industry chain, to build a star network structure proposed vertical multilateral platform to solve the problem of vertical industry chain mechanism path reconstruction. Portrait multilateral platform model theoretically expand the bilateral platform vertical linear relationship, but also from actually increase the breadth and application of network platform. From the angle of information matches and assets dedicated transaction costs, we demonstrate the multilateral platform network form of organization than the market or in the form of business organization. Based on third-party governance vertical multilateral platform broke the monopoly of the vertical integration of enterprises, improve the welfare of society as a whole, and contribute to the anti-monopolv regulation.
