摘　　要：近代民营银行的组织制度、治理结构和经营管理理念,比当时任何一个行业都先进有效。银行外部的组织形式实行总分行制,由总行统一领导分支机构,内部组织制度则基本都采用股份有限公司形式组建。这样的组织制度规避了旧式金融机构组织系统中的弊病。对银行来说行员是银行的"血液",是一切创新的动力,近代民营银行早已意识到人员管理对银行安全运营的重要性。不仅重视贤才的吸纳,更重视对行员行为的严格管控,不断提高银行员工素质看成是银行安全发展的隐性保障。Compared with any industries at the time, modern private bank organization system is more advanced and effective in governance structure and the management idea. The external bank organization follows the forms of head office and branch system. The head office controls its branch organization. The internal organization system is constructed in the form of limited company. This kind of organization system overcomes the defacts existed in old fi- nance organization system. For bank, clerks are bank ~ ＂blood＂, the power of all innovation. Modern private Banks have realized the importance of the personnel management for bank security operations. They not only attaches great importance to the talent to absorb,but also attach more importance to strict control of clerks~ behaviors. They regard improving the quality of emolovees constantly as a bank safe development of recessive guarantee.
