摘　　要：香港新《公司条例》即香港法例第622章，是对原公司条例及香港法例第32章的全面修改；在股份面值、董事义务、审计师权利、债权人保护以及公司申办程序和内部管治等诸多方面均作了全面的修订。本次香港公司法改革所体现的促进经济发展、方便营商、坚持成本效益，以及完善企业管制等精神均对内地公司法的修改有着重要的借鉴意义。The new Companies Ordinance in Hong Kong （Cap. 622） revises and supersedes the old Companies Ordinance （Cap. 32） in many aspects, such as the nominal value of shares, directors＇ duties, auditors＇ rights, creditor protection, company set up and administration. The company law reform provides valuable experience to the company law reform of the mainland. In aspects of promoting economic development, facilitating business operation, considering cost and efficiency and perfecting business management, it provides valuable experiences.
