澳大利亚跨国矿业并购国家安全审查的核心标准研究

摘　　要：跨国矿业并购因涉及敏感的自然资源领域,各国一般以国家安全审查予以规制。近年来,中国企业对澳矿业投资增长迅速,加之大部分投资者的国有背景,更加深了澳大利亚政府对于本国国家安全方面的担忧。出于这一考虑,澳大利亚政府通过不断的法律及政策修订,赋予了本国国家安全审查标准极其丰富的内涵,给予了并购项目本身溢出效应更多的关注,审查范围远超传统的国家安全范畴,同时亦引入了安全审查的筛选机制,务求安全性与灵活性的平衡把握。因此对于这一审查标准的准确把握,不仅关乎中国矿产类企业的可持续发展,稳定我国的海外能源资源供给,而且对完善中国的国家安全审查体系也具有重要的意义。Since it involves sensitive fields of natural resources, the transnational mining acquisition is usually regulated by national security review. In recent years, Chinese enterprises＇ investments on Australian mining industry, together with their state- owned background, which deepen Australia government＇ s worry on national security. For this consideration, through continuous amendments on laws and policies, Australia government gives rich connotation to the standard of national security review and pays more attention on the spillover effect of the acquisition project, which causes the scope of review exceed traditional national security largely, at the same time also introduce a set of screening mechanism on the national security in order to balance safety and flexibility. Therefore an exact definition on reviewing standard is not only important for the sustain development for Chinese mining enterprises and stabilizing our country＇ s oversea resource supply, but also improve Chinese national security review system.
