摘　　要：不动产登记局不能解决财产权登记的统一,不能解决户籍登记与婚姻登记的统一,不能解决公司登记与社会团体登记的统一。设立不动产登记局是目前改革的成果,设立财产登记局是下一步改革的目标,设立民商事登记局是远期改革的目标。保护第三人的私权公示理论、政府机构设置的大部制理论和社会信用体系建设的大数据理论,是设立民商事登记局的理论基础。德国民商事登记集中在基层法院,日本民商事登记集中在法务局。我国民商事登记错误,采取行政诉讼主导的救济制度,行政监管色彩较强,不符合私权登记的本质要求。基于整体化改革思维,我国未来民商事登记局应当定性为正部级国务院直属机构,采取中央垂直管理体制,设置通过国家司法资格考试的民商事登记官制度。The establishment of the Real Estate Registration Bureau is the current result of our reform, and our next step is to set up the Property Registration Bureau,and our long- term goal is to found the Civil and Commercial Registration Bureau. The theoretical principles to establish the Civil and Commercial Registration Bureau includes the Publicity of civil and commercial subject and rights, the Super-Ministry System of governmental agencies and the Big Data of the development of a credit rating system. Germany commercial registration concentrate in lower courts while Japan focus on the Affairs Bureau. Based on the overall reform thinking, we shall characterize the Civil and Commercial Registration Bureau as the ministerial level directly under the State Council, and take a central vertical management system, and set up a civil and commercial registrar system by the National Judicial Examination.
