摘　　要：针对煤炭企业并购过程中存在的并购风险,文章进行了煤炭企业并购风险识别,运用结构方程构建我国煤炭企业并购风险因素分析模型,然后制作调查问卷收集数据,对分析模型进行拟合,拟合结果验证了研究假设,确定了我国煤炭企业并购的关键风险因素。所以该研究对于提高我国煤炭企业并购效果,促进资源优化配置具有重要理论和实践意义。Aiming at the risks in the course of coal enterprise mergers and acquisitions （ M＆A）, this paper identified the M＆A risk factors in the coal enterprise recognition, established the analysis model of coal enterprise M＆A risk factors using structural equation model, made the questionnaire to collect data for the model fitting, and determined the key risk factors of coal enterprise M＆A, so as to improve the effect of coal enterprise M＆A in our country, and promote the allocation optimization of resources.
