摘　　要：董事会秘密制度的设置不仅提高了公司董事会决策的效率,同时也提高了公司信息披露的质量,已成为现代公司治理不可或缺的一部分。The principle of company secretary systemnot only improves the efficiency of the company decision -making,but al-so improves the quality of the company＇s information disclosure.It has become a very improtant part of modern corporate govern-ance.
