国有产权转让审批制度的法制研究——以各参与主体的职权分配为视角

摘　　要：国有产权转让是实现国有资本有进有退、国有企业战略性重组的重要基础,而规范和保障国有产权转让的有序进行,防止国有资产流失则是国有产权转让法律制度的重要使命。由于国有产权本身的特殊性,使其在转让过程中需要审批制度的建立。文章主要分析了我国国有产权转让审议制度和批准制度的不足,在探讨各转让主体职权分配和约束机制的基础上以求完善国有企业产权转让的审批制度,并提出监督管理等职权分配在立法上存在的冲突及解决方案。The transference of the state-owned properties makes a very important base for the strategic re-construction of the state-owned enterprises where we can realize the government capital management. The legal system for controlling this transference right, that is, to avoid erosion of state assets, is the main mission. Considering the uniqueness of the state property right, the approval system should be established in the process of transference. The inadequa- cies in this system are analyzed, based on which the participants＇ power distribution and restriction system is suggested.
