摘　　要：大学章程是现代大学制度重要组成部分。通过对我国7所"985工程"高校章程有关内部政治权与行政权、学术权、师生民主管理及监督权进行对比解析发现,我国大学内部治理存在如下问题:党委政治领导权与校长行政权在现实运行中存在冲突、教师学术权难以充分发挥、师生民主管理和监督权有待提高。针对这些问题,可以通过厘清政治权与行政权关系、完善制度保证教师学术权力的行使、创新方式方法保障师生民主管理和监督权的发挥等措施来破解我国大学内部治理的困境。Constitution of university is an important part of the modem university system. This thesis did acomparative analysis of seven Chinese ＂985 projects＂ universities＇ constitution on internal political right, academic right, democratic management of teachers and students and supervision rights and found some problems as follow： the conflict between the political leadership by the Party committee and the executive power of schoolmaster, the teachers a- cademic right is hard to display, the democratic management of teachers, and students and supervision rights have yet to be improved. For these problems, there are the solutions to clarify the relationship between political and administration power, through the perfect system construction to guarantee teachers＇ academic freedom, through the innovation of methods to guarantee teachers and students＇ democratic management right and supervision right, which will solve the problems of universities＇ internal govemance in China.
