摘  要:董事会制度是我国民办高校内部治理结构的基础与核心,对民办高校的可持续发展起制度保障作用。举办者投资办学的基本动机与民办高校合理回报和所有权归属的法律规定之间的矛盾,易导致举办者对董事会过度控制。完善民办高校内部治理机制,须优化董事会成员结构,加快民办高校信息公开的步伐,增强党委、校长、教代会、学术委员会等治理主体的话语权和决策权,实现对董事会和举办者权力的监督和制约,积极稳妥地推进民办高校分类管理试点。The system of board of trustee is the basis and core of the internal governing structure of private universities in China,which can protect the sustainable development of private universities. The contradiction between the fundamental motive of sponsors and reasonable return of private universities and legal rule of attribution of the ownership can easily induce the over control to board of trustee of sponsors. Improving the internal governing mechanism of private universities,the members structure of board of trustee should be optimized,information disclosure of private universities should be accelerated,the right of speech and decision-making power of governing subject,such as party committee,president,teachers’ representative committee,and academic board,should be enhanced,so that the rights of board of trustees and sponsors can be supervised and restricted,and the systematic management of private universities can be carried forward positively and reliably.
